Terms of Service
Article 1 (Definitions)
"Service" means the Mobility Data Intelligence service provided by Carseven Philippines Inc (the "Company").
"Subscriber" means a company that has entered into an agreement with the Company for the use of the Service.
"User" means an individual to whom a Subscriber has granted access to the Service.
"Service Data" means the vehicle catalog information, auction market price information, and other data made available through the Service.
Article 2 (Application)
These Terms of Service (these "Terms") govern the rights and obligations between the Company and each Subscriber in connection with the use of the Service by the Subscriber and its Users.
Where the Company and a Subscriber have entered into a separate individual agreement, the terms of that individual agreement shall prevail over these Terms to the extent of any conflict.
These Terms also apply, to the extent relevant to browsing, to visitors who do not hold an account ("Visitors") when they access the publicly available parts of the Service, including the provisions on the nature of data and important notices (Article 5), prohibited acts (Article 7), and intellectual property (Article 8).
Article 3 (Accounts)
Accounts for the Service are issued by the Company through its prescribed procedures; there is no self-registration by Users.
Users authenticate themselves using a one-time passcode (OTP) sent to their registered email address.
Users are solely responsible for properly managing their own authentication credentials and shall not share them with any third party.
A Subscriber is responsible for the acts and omissions of the Users within its own organization in connection with their use of the Service.
Article 4 (Description of the Service)
The Service provides the following functions:
(1) Vehicle catalog search: browsing of brands and models is available free of charge and without membership. Access to grade-level details, release history, and the comparison function requires membership (issuance of a User account by the Company upon the Subscriber's request).
(2) Auction market price statistics: search, statistical display, and price trend viewing based on historical auction data, and export of such data in CSV format, are member-only functions.
The specific scope of functions available may vary depending on the plan subscribed to by the Subscriber or the individual agreement between the Company and the Subscriber.
Article 5 (Nature of Data; Important Notices)
Auction market price information consists of statistics based on historical auction data and does not guarantee future prices or the value of any individual vehicle. Decisions relating to transactions are made at the Subscriber's own risk and responsibility.
Images shown in the catalog are reference illustrations and may differ from the actual vehicle in appearance, color, or specification.
Specification and release history information is provided based on official sources, but the Company does not warrant its completeness. Where a value is unknown, it is displayed as "Unknown".
Article 6 (License and Permitted Use)
The Company grants the Subscriber a non-exclusive license to view and search the Service for the Subscriber's internal business purposes and to use exported CSV data internally for those purposes.
Any use beyond the foregoing (including provision to parties outside the Subscriber's organization) requires a separate individual agreement with the Company.
Article 7 (Prohibited Acts)
Users and Subscribers shall not, in connection with their use of the Service:
(1) resell or redistribute Service Data to any third party without the Company's authorization;
(2) compile or publish Service Data as a publicly accessible database;
(3) collect data from the Service by scraping or other automated means;
(4) reverse engineer, decompile, or disassemble the Service;
(5) share authentication credentials with any third party or gain unauthorized access to the Service;
(6) interfere with the operation of the Service;
(7) infringe the intellectual property or other rights of any third party; or
(8) violate any applicable law or regulation.
Article 8 (Intellectual Property)
All copyrights, trademarks, and other intellectual property rights in the Service and the Service Data belong to the Company or to third parties that have duly licensed such rights to the Company.
The license granted under these Terms does not constitute any assignment or transfer of such intellectual property rights to the Subscriber.
Article 9 (Fees)
Fees, plans, and payment terms for the Service shall be as set forth in the individual agreement between the Company and the Subscriber.
Article 10 (Suspension, Modification and Termination of the Service)
The Company may suspend all or part of the Service without prior notice to the Subscriber where necessary due to maintenance, system failure, force majeure, or other unavoidable circumstances.
The Company may modify the content of the Service or terminate its provision. Where the Company terminates the Service, it will provide the Subscriber with reasonable advance notice.
Article 11 (Personal Information)
The handling of personal information is governed by the separately published Privacy Policy.
Article 12 (Confidentiality)
Neither the Company nor a Subscriber shall disclose to any third party, or use for any purpose other than the use of the Service, any confidential information of the other party obtained in connection with the use of the Service, without the other party's prior written consent.
Article 13 (Disclaimer; Limitation of Liability)
The Company does not warrant that the Service will be provided without interruption or that the data provided through the Service is complete.
Where the Company is liable for damages caused by reasons attributable to it, such liability is limited to direct and ordinary damages and shall not exceed, in the aggregate, the total fees paid by the Subscriber to the Company in the twelve (12) months immediately preceding the event giving rise to the claim, except in cases of willful misconduct or gross negligence on the part of the Company.
Article 14 (Termination for Breach)
The Company may suspend a Subscriber's use of the Service or terminate the agreement with the Subscriber if the Subscriber or any of its Users breaches these Terms.
Article 15 (Amendments)
The Company may amend these Terms within a reasonable scope. Where an amendment materially affects a Subscriber, the Company will provide prior notice of such amendment.
Article 16 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of the Republic of the Philippines.
Any dispute arising between the Company and a Subscriber in connection with the Service shall be subject to the exclusive jurisdiction of the competent courts of the Republic of the Philippines as the court of first instance.
